The paper begins with a ruling from the Court of Venice, which orders the revocation of the directors of a limited liability company pursuant to Article 2409 of the Civil Code, justified by the lack of an orderly, transparent, and documented management of the company. This decision reinforces the orientation of the courts, according to which the failure in establishing an appropriate organizational, administrative, and accounting structures constitutes a serious irregularity in the management, the intervention of the Court even in the absence of a state of crisis. Starting from this decision, the Author focuses on the legal remedies aimed at countering serious management irregularities by the directors in the limited liability model, which is particularly interesting considering the coexistence—following the amendments introduced by the Insolvency and Crisis Code- of the precautionary remedy under Article 2409 of the Civil Code with the one outlined in Article 2476, paragraph 3, of the Civil Code.
Lo scritto prende le mosse da una pronuncia del Tribunale di Venezia che dispone la revoca degli amministratori di una società a responsabilità limitata ai sensi dell’art. 2409 c.c. giustificata dalla mancanza di una gestione ordinata e documentata dell’ente. Questo provvedimento consolida l’orientamento delle corti di merito in base al quale proprio la mancata predisposizione di adeguati assetti organizzativi, amministrativi e contabili costituisce una grave irregolarità nella gestione, che giustifica l’intervento del Tribunale anche in assenza di uno stato di crisi. Partendo da tale pronuncia, l’Autore si sofferma sui rimedi ordinamentali tesi a contrastare le gravi irregolarità nella gestione degli amministratori nel modello a r.l., particolarmente interessante considerata la coesistenza a seguito delle modifiche operate dal codice della crisi d’impresa e dell’insolvenza del rimedio cautelare di cui all’art. 2409 c.c. con quello tipizzato all’art. 2476, comma 3, c.c.
