IL PROJECT FINANCING TRA DIRITTO NAZIONALE E DIRITTO EUROPEO (Note a margine della sentenza della Corte di Giustizia del 5 febbraio 2026, C-810/24)

The article reconstructs the regulatory evolution of project financing under the Italian Public Procurement Code, focusing on the issue of the right of first refusal. In light of the judgment of the Court of Justice, C-810/24 of 5 February 2026, it demonstrates the incompatibility of the institution, even in its post-amendment configuration, with the principles of equal treatment, competition, and immutability of tenders. At the operational level, it is necessary to disapply Article 193(12) of Legislative Decree 36/2023 in pending procedures and to avoid including the clause in future ones

L’articolo ricostruisce l'evoluzione normativa del project financing nel Codice dei contratti pubblici, soffermandosi sul nodo del diritto di prelazione riconosciuto al promotore (o al proponente). Alla luce della sentenza della Corte di Giustizia, C-810/24 del 5 febbraio 2026, si dimostra l’incompatibilità dell'istituto, anche nella sua configurazione post correttivo, con i principi di parità di trattamento, concorrenza, immodificabilità dell’offerta. Ne deriva, a livello operativo, la necessità di disapplicare l'art. 193, comma 12, d.lgs. 36/2023 nelle procedure già avviate e di non inserire la clausola in quelle successive.
